We operate under NEXPAT LTD, registered in England and Wales at 71-75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ ("Nexpat," "we," "us," or "our").

By using our website, app, or services (together, the "Platform"), you agree to these Terms & Conditions ("Terms"). Please read them carefully, along with our Privacy Policy, Cookie Policy, Acceptable Use Policy, and Refund & Cancellation Policy (together, the "Policies").

If you do not agree, you must not use our Platform or Services.

2. Our Services

We provide the following services:

• eSIM connectivity services: enabling customers to purchase and activate digital eSIM plans worldwide (through approved telecom/aggregator partners).
• AI-powered assistance: providing automated support, personalization, and fraud-prevention features.
• Events & e-tickets: browsing, purchasing, and managing entry to events via our app.
• Nexpat Business accounts: enabling verified service providers (KYB required) to create profiles, advertise services, and receive bookings.
• Nexpat Pro accounts: offering enhanced features to freelancers and travelers (KYC may apply).
• Community features: posting, reviews, ratings, and social networking between users and providers.

We operate as an aggregator and marketplace. eSIMs and other services available on Nexpat are provided in cooperation with third-party providers. While we strive for reliability, we do not guarantee continuous availability or quality of third-party networks.

3. Eligibility

• You must be at least 18 years old (or the age of majority in your jurisdiction) to use Nexpat.
• For Nexpat Business accounts, you must complete KYB verification and represent a valid business entity.
• For certain services (e.g., posting, payments, events), you may need to pass KYC verification.

4. Accounts & Security

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You agree not to share your account or impersonate others.
• We may suspend or terminate accounts that violate these Terms.

5. Refund & Cancellation Policy for eSIMs

Because eSIMs are digital products, once a QR code or activation profile has been issued, the plan is generally non-refundable. However, Nexpat may grant a refund or replacement in limited cases:

• If the eSIM could not be installed due to a verified technical fault,
• If the plan does not work and the issue is confirmed as provider-related,
• If you purchased the wrong plan but have not yet activated or downloaded it,
• If you made a duplicate purchase.

Refund requests must be submitted via [email protected] within 7 days of purchase. Each request will be reviewed individually.

For events & e-tickets, refund eligibility will depend on the event organizer's rules, which will be displayed at the time of purchase.

6. Use of Our Platform

You agree to use Nexpat only for lawful purposes and in compliance with our Acceptable Use Policy. Prohibited activities include, but are not limited to:

• Attempting to hack, disrupt, or misuse the Platform,
• Sharing false or misleading information,
• Uploading unlawful, harmful, or abusive content,
• Circumventing KYC/KYB or fraud detection systems.

We may suspend or terminate your access for violations.

7. Intellectual Property Rights

All intellectual property rights in our Platform and Services (software, design, branding, trade marks, and content) belong to or are licensed to Nexpat LTD.

You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose. You may not copy, reverse-engineer, or commercially exploit our Platform without prior written consent.

By submitting feedback, reviews, or suggestions, you grant us the right to use them without compensation.

8. Third-Party Services

Our Platform may include integrations with third-party providers (e.g., eSIM aggregators, payment processors, event organizers). Their terms may apply in addition to ours. We are not responsible for their actions or failures.

9. Disclaimer of Liability

Except where restricted by law:

• Nexpat provides the Platform and Services on an "as-is" and "as available" basis.
• We do not guarantee uninterrupted availability or the quality of underlying connections.
• To the maximum extent permitted, we disclaim all implied warranties, including merchantability and fitness for a purpose.
• We are not liable for indirect, consequential, incidental, or punitive damages (including lost profits).
• Our total aggregate liability in any case shall not exceed GBP 100.00.

You agree to indemnify Nexpat, its officers, employees, and contractors against claims arising from your unlawful use or violation of these Terms.

10. Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Class Action Waiver

You agree to waive any right to participate in class actions, consolidated, or representative proceedings. Disputes must be resolved individually.

12. Enforcement of Terms

If any part of these Terms is unenforceable, the remainder shall remain valid and enforceable.

13. Changes to Terms

We may update these Terms periodically. Material changes will be notified via the Platform or email. Continued use after changes take effect constitutes acceptance.
